MILES360 TECHNOLOGIES LTD
Client Portal Service Agreement — Effective May 25, 2026
This Client Portal Service Agreement ("Agreement") is entered into between Miles360 Technologies Ltd ("Miles360", "we", "us") and the registering entity ("Client", "you"). By completing registration, you confirm that you have read, understood, and agree to be bound by this Agreement in its entirety.
1. NATURE OF SERVICE
Miles360 provides a cloud-hosted digital showcase platform enabling clients to upload, manage, and publicly present aerial imagery, 360° virtual tours, videos, and related spatial content ("Content") to their designated audiences. The platform operates on a subscription basis and is accessible via the Miles360 Client Portal at miles360.net/portal.
2. ACCOUNT REGISTRATION & SECURITY
2.1 You must provide accurate, current, and complete information during registration. Providing false or misleading information constitutes a material breach of this Agreement.
2.2 You are solely responsible for safeguarding your login credentials. Miles360 will never request your password via email or telephone.
2.3 You must notify Miles360 immediately at support@miles360.net if you suspect any unauthorised access to your account. Miles360 shall not be liable for losses arising from unauthorised use of your account.
3. SUBSCRIPTION, BILLING & PAYMENT
3.1 Access to the Miles360 Client Portal requires an active paid subscription. Subscription tiers, pricing, and included storage allocations are as communicated to you at the time of onboarding and may be updated with 30 days prior notice.
3.2 Subscriptions renew automatically on a monthly or annual basis as agreed. It is your responsibility to ensure payment is maintained to avoid service interruption.
3.3 Miles360 reserves the right to suspend or restrict access to your account in the event of non-payment, with or without prior notice after the due date has passed.
4. CONTENT OWNERSHIP & LICENCE
4.1 You retain full intellectual property ownership of all Content you upload to the Miles360 Portal. Miles360 does not claim ownership over your Content.
4.2 By uploading Content, you grant Miles360 a limited, non-exclusive, royalty-free licence to host, process, display, and deliver your Content solely for the purpose of providing the services described in this Agreement.
4.3 You warrant that you hold all necessary rights, licences, and permissions to upload and publicly display your Content, and that doing so does not infringe any third-party intellectual property, privacy, or other rights.
5. ACCEPTABLE USE POLICY
5.1 You agree to use the Miles360 Portal solely for lawful business purposes. The following are strictly prohibited:
— Uploading content that is unlawful, defamatory, obscene, fraudulent, or harassing
— Infringing on third-party intellectual property rights
— Attempting to gain unauthorised access to other client accounts or system infrastructure
— Using the platform to distribute malware, spam, or engage in phishing activities
— Misrepresenting your identity, business, or the nature of your Content
5.2 Miles360 reserves the right to remove Content and suspend accounts that violate this policy, with or without prior notice, and without liability to you.
6. STORAGE, DATA & BACKUPS
6.1 Storage limits are determined by your active subscription plan. Exceeding your allocated storage may result in restricted upload capability until additional capacity is arranged.
6.2 While Miles360 implements reasonable data protection measures, we do not guarantee against data loss. It is your responsibility to maintain independent backups of all Content uploaded to the platform.
6.3 Miles360 shall not be liable for any loss, corruption, or inaccessibility of your Content arising from hardware failure, natural disasters, cyberattacks, or any other cause beyond our reasonable control.
7. PRIVACY & DATA PROTECTION
7.1 Miles360 collects and processes personal data in accordance with applicable data protection legislation, including the Kenya Data Protection Act, 2019.
7.2 Your personal data will never be sold, rented, or disclosed to third parties for commercial purposes. We use your information exclusively to deliver, maintain, and improve our services.
7.3 By registering, you consent to the collection and processing of your personal data as described in our Privacy Policy, available at miles360.net/privacy.
8. SERVICE AVAILABILITY & MAINTENANCE
8.1 Miles360 endeavours to maintain maximum platform availability. However, we do not guarantee uninterrupted or error-free service.
8.2 Scheduled maintenance will be communicated at least 24 hours in advance where operationally feasible. Emergency maintenance may be conducted without prior notice.
8.3 Miles360 shall not be liable for any direct or indirect losses arising from planned or unplanned service interruptions.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Miles360's total liability to you for any claim arising under or in connection with this Agreement shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim. Miles360 shall not be liable for any indirect, consequential, special, or punitive damages.
10. TERMINATION
10.1 Either party may terminate this Agreement by providing 30 days written notice to the other party.
10.2 Miles360 may terminate this Agreement immediately and without notice in the event of a material breach of this Agreement by you, including but not limited to non-payment or violation of the Acceptable Use Policy.
10.3 Upon termination, your Content will remain accessible for export for a period of 14 calendar days, after which it will be permanently deleted from our servers.
11. AMENDMENTS TO THIS AGREEMENT
Miles360 reserves the right to amend this Agreement at any time. Material changes will be communicated to you via email or through a notice on the Portal at least 14 days before taking effect. Your continued use of the Portal following such notice constitutes acceptance of the amended terms.
12. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from or in connection with this Agreement shall first be referred to mediation. If mediation fails, disputes shall be resolved through the courts of Kenya, and both parties submit to the exclusive jurisdiction of those courts.
13. ENTIRE AGREEMENT
This Agreement, together with any subscription order form or onboarding documentation, constitutes the entire agreement between you and Miles360 with respect to the subject matter herein and supersedes all prior agreements, representations, and understandings.
